1. Introduction
Welcome to Skillztrail. These Terms of Use (“Terms”) govern your access to and use of the Skillztrail platform, including all associated websites, applications, tools, and services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.
Skillztrail is owned and operated by Guiding Star Communications and Consulting Inc., a corporation incorporated in the Province of Ontario, Canada.
2. About Skillztrail
Skillztrail is a developmental capability mapping platform designed to support individuals and organizations in reflecting on, identifying, and growing professional capabilities. The Platform enables users to engage in structured self-reflection, build living capability maps, and track developmental progress over time.
Skillztrail is not an assessment tool, performance management system, or evaluation platform. It is designed to support growth-oriented reflection and capability development.
3. Eligibility
To use Skillztrail, you must:
- Be at least 18 years of age, or the age of majority in your jurisdiction
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the Platform under applicable law
If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
4. User Accounts
To access certain features of the Platform, you must create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain the security of your password and account credentials
- Promptly update any information that changes
- Accept responsibility for all activity that occurs under your account
- Notify us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe to be compromised.
5. Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Platform for any purpose that is unlawful or prohibited by these Terms
- Attempt to gain unauthorized access to any part of the Platform or its systems
- Interfere with or disrupt the integrity or performance of the Platform
- Use the Platform to harass, abuse, or harm others
- Upload or transmit viruses, malware, or other harmful code
- Use automated systems (bots, scrapers, etc.) to access the Platform without permission
- Reverse engineer, decompile, or disassemble any part of the Platform
- Misrepresent your identity or affiliation with any person or entity
- Use the Platform to collect information about other users without their consent
6. Developmental Nature of the Platform
Skillztrail is designed as a developmental tool, not an evaluative or assessment system. Users should understand that:
- The Platform supports self-directed reflection and capability development
- Outputs and insights generated by the Platform are developmental in nature and should not be used as the sole basis for employment, promotion, termination, or other personnel decisions
- The Platform does not provide professional certifications, accreditations, or formal qualifications
- AI-generated insights are intended as developmental prompts and should be interpreted with professional judgment
- The Platform is not a substitute for professional coaching, counseling, or career advice
7. Organizational Accounts and Reporting
When the Platform is provided through an organizational subscription:
- The organization may have access to aggregated, anonymized reporting data about engagement and capability trends
- Individual reflection content remains private to the user unless explicitly shared
- Organizations may configure visibility settings within the bounds permitted by the Platform
- Managers may have access to team-level developmental insights, as configured by the organization
- Users will be informed of what information is visible to their organization
The specific data sharing arrangements between individual users and organizations are governed by the organizational subscription agreement and the Platform's privacy settings.
8. Artificial Intelligence Features
The Platform incorporates artificial intelligence (“AI”) features to support developmental reflection. By using AI features, you acknowledge and agree that:
- AI-generated content is provided for developmental purposes only and may not be fully accurate
- AI outputs should be reviewed and validated by the user before being relied upon
- We do not guarantee the accuracy, completeness, or suitability of AI-generated content
- AI features may be modified, improved, or discontinued at our discretion
- Your interactions with AI features may be used to improve the Platform, subject to our Privacy Policy
- AI-generated insights do not constitute professional advice of any kind
9. Subscription Plans and Billing
Skillztrail offers various subscription plans. By subscribing to a paid plan, you agree that:
- You authorize us to charge your designated payment method on a recurring basis
- Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan
- All fees are quoted in the currency specified at the time of purchase
- We may change subscription pricing with reasonable notice prior to your next billing cycle
- You are responsible for all applicable taxes
- Refunds are handled in accordance with our refund policy, if applicable
You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period, and you will retain access to paid features until that time.
10. Trial Accounts
We may offer trial access to the Platform. Trial accounts are subject to the following:
- Trial periods are limited in duration as specified at the time of registration
- We reserve the right to limit or modify trial features at any time
- At the end of a trial period, your account may be converted to a paid subscription or limited to free-tier features
- We are not obligated to offer trial access and may discontinue trial offers at any time
11. Intellectual Property
All content, features, and functionality of the Platform—including but not limited to text, graphics, logos, icons, images, software, and the underlying code—are the exclusive property of Guiding Star Communications and Consulting Inc. or its licensors and are protected by Canadian and international copyright, trademark, and other intellectual property laws.
You may not:
- Copy, modify, or distribute any part of the Platform without our written permission
- Use our trademarks, service marks, or branding without authorization
- Create derivative works based on the Platform
- Remove or alter any proprietary notices or labels on the Platform
12. User Content
You retain ownership of content you create or submit through the Platform (“User Content”). By submitting User Content, you grant us a limited, non-exclusive, worldwide license to:
- Store, process, and display your User Content as necessary to provide the Platform services
- Use anonymized and aggregated data derived from User Content to improve the Platform
- Create backup copies for data security purposes
You represent and warrant that you own or have the necessary rights to submit your User Content and that it does not violate any third party's rights.
13. Availability and Service Changes
We strive to maintain Platform availability but do not guarantee uninterrupted access. We reserve the right to:
- Modify, suspend, or discontinue any part of the Platform at any time
- Perform scheduled and emergency maintenance
- Limit access to certain features based on subscription tier
- Change the features and functionality of the Platform
We will make reasonable efforts to provide notice of significant changes that may affect your use of the Platform.
14. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Platform is provided “as is” and “as available” without warranties of any kind, either express or implied
- We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform
- Our total liability for any claims arising under these Terms shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim
- We are not liable for any decisions made based on information provided by the Platform, including AI-generated content
15. Indemnification
You agree to indemnify, defend, and hold harmless Guiding Star Communications and Consulting Inc., its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any third party's rights
- Any User Content you submit through the Platform
16. Privacy
Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our data practices as described in the Privacy Policy.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada.
18. Changes to These Terms
We may update these Terms from time to time. When we make changes, we will:
- Update the “Last Updated” date at the top of these Terms
- Notify users of material changes through the Platform or via email
- Provide reasonable notice before changes take effect
Your continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform.
